Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

15. Indemnification

19. Dispute Resolution and Arbitration

19.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to first contact MyFunders at [email protected] to attempt to resolve the dispute informally. We will attempt in good faith to resolve the dispute within thirty (30) days of receiving your written notice.

19.2 Binding Arbitration

If the dispute is not resolved informally, it shall be submitted to and resolved exclusively by binding arbitration in Miami, Florida, administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

19.3 Class Action Waiver

YOU AND MYFUNDERS AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims.

19.4 Exceptions

Notwithstanding the above, either party may seek emergency injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm, and claims arising under intellectual property rights may be brought in court.

20. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or severed from these Terms if modification is not possible. The remaining provisions shall continue in full force and effect.
